This agreement (“Agreement”) is made and entered into as of this day of between ESPN Productions, Inc., a corporation organized under the laws of the State of Delaware (hereinafter referred to as “Productions”), and the Local Host Site named in the Registration Form (hereinafter referred to as the “Local Site”). In consideration of the mutual promises herein contained and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Purpose of Agreement. The Local Site wishes to participate in the “Local Competition” portion of the 2011 ESPN National Golf Challenge (the “Tournament” or “Event”).
2. Term. This Agreement shall have a term (“Term”) commencing upon the date of submission of the executed Site Registration form and extending through the conclusion of the parties’ performance in connection with the Tournament, anticipated to be not later than July 15, 2012.
3. Description of Tournament. The Local Site (and each other participating site for the Local Competition) confirms that it will Host a Local Qualifying event and will submit a minimum of two teams from either or any of; Gross, Net, or Senior Divisions from the Local event (up to a maximum of eight per site). Advancing team are determined by a two-person “better ball” format, overseen entirely by the Local Site, to participate in the Regional Finals of the Tournament. The Local Site will be solely responsible to ensure that the individual participants and the team or teams it submits to participate in the Qualifying Rounds are selected through a fair competition conducted in the designated format and meet the individual and team eligibility criteria for the Event. The Local Site represents that it has reviewed the ESPN National Golf Challenge Event Overview, Rules and Regulations, and that it will comply with the portions applicable to sites participating in the Local Competition and will cause individual participants to comply with all portions applicable to the Local Competition or to their overall eligibility. Terms capitalized but not defined herein shall have the meanings given to them in the Event Overview.
4. Other Terms. The Local Site hereby submits and agrees to the terms and information contained on the attached “Overview” page (and/or on the Registration page of our website, ESPNGOLF.COM) and on the previous pages. Subject to mutually agreed adjustments for events of force majeure, promptly upon completion of the Local Competition at the Local Site, the Local Site will remit to ESPN the amounts applicable to the number of participating players at the Local Site, together with the Regional level entry fee of $189 per player ($378 per team) designated for the advancing team(s). ESPN will notify the Local Site of the Regional Host Site designated for the advancing team(s) from the Local Site.
5. Indemnification. The Local Site will indemnify, defend and hold Productions harmless from any and all claims, costs, liabilities, judgments, expenses or damages (including reasonable attorneys’ fees) arising out of the conduct of the Local Competition at or by the Local Site, any breach or alleged breach of this Agreement or of any representation made by it herein.
In agreement to the foregoing terms and conditions, the Local Site representative indicates full agreement with the “Agreement” and so indicates by typing their name and checking the checkbox in the Registration Form.
